This report examines the European Company Statute (ECS) and impediments to firms adopting this certification system. According to the authors, the main obstacles are fiscal issues. They discuss the taxes triggered by the transfer of assets, exit taxes used to thwart the change of residence, undue application of the value added tax and uncertainties on transfer pricing. The report provides recommendations on ways to overcome these obstacles.
